Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of the Samay mobile application (“Samay,” “the App”) provided by Studio Parkar (“we,” “us,” or “our”). By creating an account, accessing, or using the App, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the App.

2. Description of Service

Samay is a time tracking, expense management, and invoicing application designed for freelancers, consultants, and small businesses. The App allows you to:

• Track time worked on client projects
• Record and categorize business expenses with receipt capture
• Create, manage, and send professional invoices
• Record payments received against invoices
• Generate reports and export data
• Manage client and project information

Samay is a productivity tool. It is not an accounting system, tax preparation service, legal advisor, or financial institution.

3. Eligibility

You must be at least 16 years of age to use Samay. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration and Security

4.1 Account Creation

To use Samay, you must create an account using a valid email address or through a supported sign-in provider (Apple or Google). You agree to provide accurate information during registration.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately if you become aware of any unauthorized use.

4.3 One Account Per User

Each account is intended for a single individual. You may not share your account credentials with others or allow others to access the App through your account.

5. Subscription Plans and Billing

5.1 Free Plan

Samay offers a free plan with the following limitations:

• Up to 5 active clients
• Up to 10 invoices per calendar month
• Standard invoice branding (Samay watermark on PDFs)

5.2 Pro Plan

The Pro plan removes free-plan limitations and includes unlimited active clients, unlimited invoices, custom business branding on invoices (logo, no watermark), reports and data export features, and invoice email delivery.

5.3 Subscription Options

Pro subscriptions are available as monthly, annual, or lifetime one-time purchase options.

5.4 Payment Processing

All subscription payments are processed through the Apple App Store via RevenueCat. By subscribing, you also agree to Apple’s terms for in-app purchases.

5.5 Billing and Renewal

• Subscription fees are charged to your Apple ID account at confirmation of purchase.
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the same rate.
• You can manage and cancel subscriptions through your Apple ID account settings.

5.6 Refunds

Refund requests are handled by Apple in accordance with their App Store refund policies. We do not process refunds directly.

5.7 Price Changes

We reserve the right to modify subscription pricing. Any price changes will take effect at the start of your next billing cycle. We will provide reasonable notice of pricing changes through the App or via email.

6. Acceptable Use

6.1 Permitted Use

You may use Samay for lawful business purposes, including tracking your own professional time, managing your own expenses, and invoicing your own clients.

6.2 Prohibited Conduct

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable law
• Submit false, misleading, or fraudulent information (including fraudulent invoices)
• Attempt to gain unauthorized access to other users’ accounts or data
• Reverse engineer, decompile, or disassemble the App
• Interfere with or disrupt the operation of the App or its infrastructure
• Use the App to send unsolicited communications (spam) to third parties
• Use automated systems (bots, scrapers) to access the App
• Circumvent subscription restrictions or usage limits
• Resell, sublicense, or redistribute access to the App

6.3 Invoice Email Responsibility

When you use Samay to send invoices via email, you are the sender. You are solely responsible for ensuring you have a legitimate business relationship with the recipient, the accuracy and legality of the invoice content, and compliance with applicable email and anti-spam laws.

7. Your Data and Content

7.1 Ownership

You retain full ownership of all data and content you create, upload, or store in Samay, including time entries, expenses, client information, invoices, business logos, and receipt images.

7.2 License to Us

By using the App, you grant us a limited, non-exclusive license to store, process, and transmit your data solely for the purpose of providing and operating the Service.

7.3 Data Accuracy

You are responsible for the accuracy, completeness, and legality of all data you enter. We do not verify, audit, or validate your business information, financial figures, or tax calculations.

7.4 Backups

While we take reasonable measures to protect your data, we recommend that you regularly export your data using the App’s CSV export feature. We are not responsible for loss of data due to circumstances beyond our reasonable control.

8. Invoicing Disclaimer

8.1 Not an Accounting or Tax Service

Samay is a tool that helps you create and track invoices. It is not a substitute for professional accounting, bookkeeping, tax preparation, or legal advice. The App does not verify tax rates, ensure compliance with invoicing regulations, file taxes on your behalf, or provide financial or legal advice.

8.2 Your Responsibility

You are solely responsible for ensuring your invoices comply with applicable laws, accurately calculating tax rates, maintaining proper financial records, and consulting with qualified professionals as needed.

9. Intellectual Property

9.1 Our Rights

The App, including its design, code, features, graphics, interface, and documentation, is owned by Studio Parkar and protected by applicable intellectual property laws.

9.2 Trademarks

“Samay,” the Samay logo, and “Studio Parkar” are trademarks of Studio Parkar. You may not use our trademarks without prior written consent.

9.3 Feedback

If you provide us with suggestions, ideas, or feedback about the App, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without obligation to you.

10. Disclaimers

The App is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not guarantee that the App will be available at all times, uninterrupted, error-free, or free of harmful components. We may modify, suspend, or discontinue the App at any time.

The App relies on third-party services (Supabase, Apple, RevenueCat, Resend, PostHog, Sentry). We are not responsible for the availability, performance, or practices of these services.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Studio Parkar be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of business opportunity.

Our total aggregate liability shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) fifty U.S. dollars ($50.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Studio Parkar from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the App, your violation of these Terms, any applicable law, invoices or communications you send through the App, or any dispute between you and your clients or third parties.

13. Termination

13.1 By You

You may stop using the App and request deletion of your account at any time by contacting us at legal@getsamay.com. Active subscriptions should be canceled through your Apple ID settings before requesting deletion.

13.2 By Us

We may suspend or terminate your account if you violate these Terms, your use poses a security risk, we are required to by law, or we discontinue the App.

13.3 Effect of Termination

Upon termination, your right to use the App ceases immediately and we may delete your data in accordance with our Privacy Policy. We recommend exporting your data before requesting account deletion.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date. Continued use of Samay after changes constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the United States and the State in which Studio Parkar is incorporated. Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, either party may pursue binding arbitration or courts of competent jurisdiction. To the extent permitted by law, disputes will be resolved on an individual basis and not as part of a class action.

16. General Provisions

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Studio Parkar regarding the App.
• Severability: If any provision is found invalid, the remaining provisions remain in full effect.
• Waiver: Failure to enforce any provision does not constitute a waiver.
• Assignment: You may not assign your rights without our consent. We may assign ours without restriction.

17. Apple-Specific Terms

If you access the App through the Apple App Store:

• These Terms are between you and Studio Parkar, not Apple.
• Apple has no obligation to provide maintenance or support.
• Apple is not responsible for addressing claims relating to the App.
• Studio Parkar, not Apple, is responsible for any intellectual property infringement claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms.
